Bylaws of Five Rivers Mountain Bike Club AKA Five Rivers SORBA

I. Name and Purpose

A. The name of the organization shall be the Five Rivers Mountain Bike Club Doing Business as Five Rivers SORBA (Southern Off-Road Bicycle Association)
B. Five Rivers Mountain Bike Club DBA Five Rivers SORBA is a member based, 501(c)(3) nonprofit, officially chartered organization devoted to create, enhance and preserve great mountain biking experiences in East Tennessee, USA. The purpose of FRMBC/FRSORBA chapter is to also promote land access, trail preservation, and new trail development, as well as mountain biking awareness specific to the East Tennessee Area.

II. Principal Office

The principal office of FRMBC/FRSORBA will be in Morristown, Tennessee, or the vicinity, at a location determined by the FRMBC/FRSORBA Board of Directors.

III. Officers and Board of Directors

A. Officers and Duties: There shall be up to seven (7) officers elected from the membership of FRMBC who shall make up the FRMBC/FRSORBA Board of Directors. These officers shall be:

1 President: The President shall be responsible for carrying out the directives of the FRMBC Board of Directors. The President shall also be the chairman of the FRMBC Board of Directors, preside over the membership meetings, and represent FRMBC as a member of SORBA’s main organization Board of Directors, referred to herein as SORBA/Main. The President shall also serve as liaison to the Hamblen County Chamber of Commerce, elected officials and East Tennessee land managers.

2 Vice President: The Vice President shall discharge the duties of the president in the event of a vacancy in that office or in the event the president is absent or unable to discharge those duties. The Vice President shall also assist the president in FRMBC activities as requested.

3 Treasurer: The Treasurer shall report on the status of all money and property of FRMBC and maintain records of all financial transactions. The Treasurer shall also submit financial reports to the Treasurer of SORBA/Main on a monthly basis and provide status of all money at FRMBC Chapter meetings. The Treasurer shall submit FRMBC IRS Tax Returns on an annual basis.

4 Secretary: The Secretary shall keep a record of FRMBC/FRSORBA bylaws, meeting notes, and other administrative papers. The Secretary shall submit meeting notes to the secretary of SORBA/Main on an as needed basis.

5 Activity Director/Membership Director: The Activity Director shall coordinate group rides, festivals, races, fundraising, and other social events. The Activity Director will also identify potential sponsors, solicit donations, and maintain relationships with existing sponsors. The Activity Director shall submit FRMBC articles and pictures to SORBA/Main for news publications.

6 Female Outreach Coordinator: The Female Outreach Coordinator shall coordinate group rides, and other social events directed toward women. The Female Outreach Coordinator will also be the liaison for Bell Joy Ride and maintain relationships with other existing sponsors. The Female Outreach Coordinator shall submit FRMBC articles and pictures to SORBA/Main for news publications dealing with female events.

7 Trail Director: The Trail Director shall be responsible for coordinating work party schedules. The Trail Director shall compile and submit volunteer hours to the SORBA/Main volunteer database and corresponding land managers on a monthly basis. The Trail Director shall be responsible for the inventory of tools and upkeep of the tool trailer.

8 Webmaster: The Webmaster/Membership Director shall be responsible for managing web-based information on the FRMBC/FRSORBA website and social networking sites. The Webmaster/Membership Director shall also maintain access to the FRMBC/FRSORBA membership database.

B. FRMBC Board of Directors: FRMBC Board of Directors shall serve as the governing body for FRMBC/FRSORBA and shall set all policies and make decisions regarding FRMBC/FRSORBA’s operation as long as no conflict is incurred with SORBA/Main’s bylaws and policy.

C. Elections and Tenure:

1 Qualifications:

a. Any current member of FRMBC may hold a board member position within the FRMBC Board of Directors.

2 Nomination of Board Members:

a. The members of FRMBC and/or the FRMBC Board of Directors nominate board members in November for the election in December.

3 Elections:

a. Elections for FRMBC shall take place in November.

b. Newly elected board members shall take office at the December meeting, and members of FRMBC shall be notified as soon as practical of the results of the election.

4 Terms of Officers:

a. All officers shall serve a term of two years, or until their successor has taken office. There are no consecutive term limitations.

5 Vacancies:

a. A vacancy, except upon the removal of an officer or the creation of an additional office, shall be filled by the remaining officers until a regular or special election can be held.

b. A vacancy, which occurs upon the removal of an officer, may, at the discretion of FRMBC Board of Directors, be filled by special election or at the next regular election.

c. Reasonable opportunity shall be afforded to the members of FRMBC to make nomination in the manner for regular elections.

6 Removal of Board Members:
Any board member of FRMBC may be removed from the office at any time, with or without cause, either by action of the FRMBC Board of Directors or by action of the membership.

a. Any board member who is absent for three consecutive meetings may be automatically removed from the FRMBC Board of Directors.

b. Any board member who does not attend, at least two events per year may be automatically removed from the FRMBC Board of Directors.

c. Any board member of FRMBC may request the removal of an officer at board meetings. If seconded, a vote will be taken at the next membership meeting of FRMBC. Upon receiving a majority vote of the present membership, the officer will be removed.

d. Any member of FRMBC may request the removal of an officer at membership meetings. If seconded, a vote will be taken at the next membership meeting. Upon receiving a majority vote of the present membership, the officer will be removed.

IV. Membership:
Membership of FRMBC is open to any member of FRMBC/FRSORBA who wishes to be considered a member of FRMBC. All rules governing membership shall be set in action of the SORBA Main Board of Directors or as outlined in the SORBA Main bylaws.

V. Voting by Members:
On all matters upon with the members of FRMBC are entitled to one vote, each individual member shall be entitled to one (1) vote. Each family membership shall be entitled to two (2) votes which need not be the same.

VI. Membership Meetings:
Membership meetings will be held on a monthly basis or as needed. The meeting day and time will be set by the FRMBC President.

VII. Board Meetings:
Board meetings will be held monthly basis or as needed. The meeting day and time will be set by the FRMBC President.

VIII. Compensation of Officers or Members:
No elected officer or member shall receive any compensation or remuneration for services in an official capacity but may be reimbursed for actual expenses incurred if approved by the FRMBC Board of Directors.

IX. FRMBC/FRSORBA Finances:

A. All property and money belonging to FRMBC shall be held in the name of FRMBC/FRSORBA.

B. All money received by FRMBC shall be promptly deposited in the FRMBC account, and all payments of money by FRMBC shall be made by check or other drafts.

C. FRMBC Board of Directors must approve by a majority vote all spending over $100.00

X. Records of Financial Reports:
All records and financial reports shall be made available to any person within the membership of FRMBC.

XI. Discrimination Prohibited:
In administering its affairs, FRMBC shall not discriminate against any person on the basis of race, creed, color, national and ethnic origin, gender, sexual preference, marital status, age, or physical disability.

XII. Amendments to By-Laws:
These By-Laws may be amended by the majority vote of the FRMBC Board of Directors.
